Definitions::

HILLVIEW: is a Belgian company (bv) with headquarters in 3600 Genk, C-mine 12 and known in the KBO with number 0695.829.203

The client: is a physical or legal person who orders services or goods from Hillview.

Feedback round: the possibility given to the client to give feedback to Hillview during a project.

Scope of application
-
By purchasing products or services from Hillview, the client agrees to these terms and conditions. The general terms and conditions of the client are secondary to those of Hillview.

These general terms and conditions constitute the contract whereby both parties are bound. There can in no way be deviated from these general terms and conditions, except with written permission from Hillview.

If Hillview does not apply these conditions or a provision thereof, this cannot be interpreted as the waiver of these conditions or provision or an acknowledgment of any right on the part of the client.

Billing:
-
Unless explicitly agreed otherwise between the parties, the invoices are payable within 30 days after the invoice date.

Hillview is entitled to adjust the agreed price if the client makes changes to the originally stated assignment / specifications or if changes occur in the cost price of the service or the product. If the agreed shooting or editing time is exceeded, 60 euros excluding VAT will be charged per extra hour. Every start of an hour counts as a full hour.

Travel costs are charged at 0.49 euros per kilometer. With regard to the actual kilometers driven, Hillview is entitled to deviate from the eventual displayed costs on the quotation submitted to the client on the final invoice.

The invoices must be paid to the account number BE66 7360 4515 1443, stating the invoice number.

Every invoice that has remained unpaid on the due date will be subject to an annual interest rate of 8 percent up to the day of payment, in addition to a conventional claim of 15 percent with a minimum of 150.00 euros. This provision is without prejudice to the law of 2 August 2002 in the field of commercial transactions. The receipt of the invoice is legally and in accordance with Article 1139 of the Civil Code a reminder from the creditor, without the need for a deed and only by the expiration of the term.

Any invoice protest must be sent to Hillview by motivated and registered letter. This must be done within 8 days after the invoice date, whereby proof of registered mail will serve as a checkpoint for this period. A lack of timely protest implies an irrevocable acceptance of the invoice and the amounts, goods and services stated therein. Submitting a complaint / invoice protest does not release the client from his payment obligation.

Non-payment of the invoice on the due date gives Hillview the right to suspend its further obligations with regard to the client, independent of its right to see the contract as dissolved, to the detriment of the client, without a reminder and prior legal decision, as well as to claim compensation and interest.

Feedback Round

Unless explicitly agreed otherwise between the parties, one feedback round per project is included.

The client undertakes to provide all feedback in writing to Hillview within 48 hours after the first version has been sent. If the client only provides feedback afterwards, Hillview reserves the right to postpone the initially agreed end date of the project to a later date.

Cancellation

The client has the option to cancel the order at any time, provided that the following payment obligations are met.

In the event of cancellation 3 weeks from the start date of the agreed services, the client must pay Hillview 25 percent of the total quotation price.

In the event of cancellation 2 weeks from the start date of the agreed services, the client must pay Hillview 50 percent of the total quotation price.

In case of cancellation on 1 week of the start date of the agreed services, the client must pay Hillview 75 percent of the total quotation price.

Cancellation less than 1 week from the start date of the agreed services means that the client must pay the total offer price, unless agreed otherwise with Hillview.

Cooperation with third parties

With every assignment that the client gives her, Hillview is free to choose suppliers, models, stylists and other third parties with whom it cooperates in order to achieve full implementation of the assignment.

Force majeure, unexpected matters and unpredictability

Hillview cannot be held liable in any way for non-compliance, temporarily or definitively, of its obligations if this non-compliance is due to force majeure or unexpected circumstances. Force majeure can be defined as any circumstance that occurs beyond the control of Hillview and, more generally, all circumstances that prevent, reduce or delay the execution of the assignment by Hillview.

Malfunctions or failures of wired and wireless connections (including satellite connections) or equipment do not give any right to any form of compensation.

Copyright and intellectual property law

The copyright of all products developed by Hillview (such as graphic designs, websites, photography, software, etc.) lies fully and exclusively with Hillview. No products (such as graphic designs, photos, websites, software, source files (both source files and projects, etc.) may be changed, copied, deleted, modified or shared with third parties without the express written permission of Hillview. remains the property of Hillview and it is always entitled to clearly state its name on the developed products.

Unless otherwise agreed in writing, all intellectual property rights on the website, productions or other creations that Hillview has developed in the context of the execution of the agreement with the client are the exclusive property of Hillview. No provision in the agreement with the client can be construed as a complete or partial transfer of these intellectual property rights to the client.

Hillview is only obliged to keep the recordings made for the client for up to 3 months after the production date.

Processing of personal data

Hillview and the client acknowledge that the processing of personal data in the context of the Agreement is governed by the Belgian law of 8 December 1992 (hereinafter: "Privacy Act") and from 25 May 2018 by Regulation (EU) 2016/679 (the "GDPR") applicable that will replace the Privacy Act.

Disputes.

In the event of a dispute or dispute between Hillview, the client or a third party, only the courts of Hillview's registered office are competent. Only Belgian law applies.

Privacy Policy

Hillview bv undertakes to guarantee and protect your privacy. It considers any data you provide as confidential information that it does not keep on file longer than necessary. This covers both data you provide explicitly and data that you do not explicitly provide but is automatically gathered, such as your IP address, the type of browser and your computer’s operating system, the number of visits and the pages visited. Your contact details will not under any circumstances be passed on to third parties except where we are legally obliged to do so.
